The 2010 NetTalon Annual Shareholder Meeting was held on Wednesday April 14, 2010 at NetTalon's Fredericksburg office.

Company History
NetTalon is a privately held company. NetTalon Security Systems, Inc. was incorporated in Virginia in October 1998.
The initial focus of the company was the development and testing of a network-enabled security/fire protection system.
The resulting system provides first responders with real-time emergency information enroute to the emergency.
The company applied for and received three US patents: US 6,281,790 in August 2001, US 6,917,288 in July 2005 and US 6,972,676 in
December 2005. In addition the company has filed multiple patent applications under the World Patent Cooperation Treaty
to extend its patent coverage. To date, NetTalon has been awarded 2 Mexican patents, 2 Singapore patents, 1 Australian patent,
1 Israeli patent and 1 Canadian patent.
NetTalon's life-safety products are marketed as Virtual Command Technology. The products were UL listed in February 2007.
NetTalon sells its products to high-end system integrators focused on the security and fire markets. NetTalon has tested
and demonstrated its products in Arizona, Delaware, Georgia, Illinois, Louisiana, Maryland, New Jersey, North Carolina, Pennsylvania,
Texas, Virginia, Washington, DC and in December 2008 the United Arab Emirates.
NetTalon works closely with First Responders (Police, Fire and EMS) seeking their support for Virtual Command Technology.
To date, First Responders overwhelmingly support the technology for its ability to
mitigate emergencies by providing real-time information about the changing emergency while enroute to the scene. NetTalon is
currently seeking qualified Business Partners interested in marketing, installing and supporting Virtual Command Technology
in all regions of the United States and internationally.

Daniel C. Colin, CEO/President and Chairman of the Board joined NetTalon in December 2004. Mr. Colin brings to over 35 years of fire and security
business experience. Prior to retiring in 2001 he held senior management positions in Siemens Building Technologies'
Fire Systems unit, as Senior Vice President, Sales--Senior Vice President, Business Development and Vice President,
Business Development.
During his almost 11 years with Siemens he led the organization to a three-fold increase in business.
As Director of Marketing, Vice President of Operations and finally Vice President, Marketing and Chief Marketing Officer
for ADT he was responsible for significant growth in both their commercial and residential security and fire systems
business. Additionally, two operating divisions of the company were managed by Mr. Colin.
His career with Simplex spanned
12 years where he was promoted six times and included responsibilities for service, service management, sales, branch
management, district management and marketing.
Kenneth R. Curley Mr. Curley is a leader with a track record of success.
Upon graduation from the United States Military Academy, he served over 20 years in the United States Army. Upon retirement in 1998, he was selected to
serve within New York State government as the Director of Military Support and then Chief of Staff within the Division of Military and
Naval Affairs.
In 2000, Ken entered the private sector as the founder of Raymond Associates LLC, a management
consulting company specializing in executive coaching and organizational development with offices in New York.
In 2003, Ken transitioned to the Country of Iraq, as the Deputy Director of Requirements Coordination in Baghdad and
then as Chief of Staff Special Projects to the Coalition Provisional Authority. In 2004 upon the transfer of Iraqi sovereignty,
Ken focused on private sector business, security and emergency response operations. In 2005, Ken's company supported
the Emergency Response Efforts in the after math of Hurricane Katrina and Rita.
Ronald Dubois, Ph.D. As one of NetTalon's founders, Dr. Dubois has served as director and treasurer since October 1998 and secretary since 2002.
As director of administration and finance he is responsible for managing the day-to-day administrative and financial activities
of the company and its corporate governance and intellectual property.
Ron has over thirty five years of diversified management, information technology and research experience having worked in both academia
and the private sector. Prior to joining the private sector, Ron worked in academia, holding a variety of administrative
and teaching positions. He spent six years as the vice president for finance and operations at Chaminade University in Honolulu, Hawaii.
While at Chaminade, Ron served as director of administrative and academic computing and as chair of the math, physical and computer science department. After
leaving Chaminade, Ron worked for a northern Virginia defense contractor as deputy director wireless communications and for a military simulation systems group.
Dr. Dubois earned a B.A. and Ph.D. in Chemistry. Early in his career he worked in infrared/ultraviolet and NMR spectroscopy. He published
articles on x-ray crystallographic studies and paramagnetic NMR shifts of coordination compounds in American and British journals. While
at Texas A&M University, he was a Robert A. Welch postdoctoral fellow working on organoactinide chemistry. In recent years Ron published
articles in security/fire trade journals. His recent publications include an article entitled "Impact of Perfect Information" published in
the December 2005 issue of "Fire Engineering" and an article entitled "Putting the VOIP Fire Out" in the April 2006 issue of "Security Magazine".
In the May 2007 issue of "Fire Engineering", Ron published an article entitled "Virtual Fire Command Technology Tests".
Thomas S. Jeffrey, III Mr. Jeffrey has over forty years experience as a
proven leader, effective manager, expert trainer, and active executive in diverse organizations. With twenty years experience in the financial industry,
he held executive positions internationally in banking, insurance, manufacturing, and construction, as well as serving as a financial planner and investment manager.
Mr. Jeffrey joined International Bank (Liberia) in 2003 as executive vice president for business development and successfully raised the bank from bankruptcy
to the most profitable bank in Liberia. In 2004, he was promoted to General Manager and in 2005 was named CEO. Mr. Jeffrey retired from the bank as CEO in 2009.
Mr. Jeffrey continues to work as a consultant in West Africa and developing countries.
Prior to joining International Bank, Mr. Jeffrey was the President and General Manager of the International Trust Company Bank in Liberia, West Africa from 1992-1997.
During 1998-1999, he was President and Managing Director of Firestone Plantations Company, the largest rubber plantation in the world.
Mr. Jeffrey worked as consultant with NetTalon Security Systems from 1999-2002 supporting fund raising efforts,
organizing funding requirements, and assisting business development. He served on the NetTalon Board from 2000 to 2003 and was its Corporate Secretary.
Mr. Jeffrey served in the United States Army from 1969 - 1989. He retired as a Career Infantry Officer with a wide variety of experiences in leadership,
management, administration, and training. Experiences include combat in Viet Nam and other overseas assignments. His final assignment was the Director of
Tactical Training and Instruction at the U.S. Army Engineer School.
Mr. Jeffrey received a Bachelor degree from the Virginia Military Institute and Master of Education from Georgia State University.
Gen. Frederick J. Kroesen, Ret. Gen. Kroesen has served as a director of our
company since March 2002. In September 2004 he was elected to be Vice Chairman and on December 10, 2004 he was elected Chairman of the Board of Directors
a position he held until April 2009. General Kroesen is a retired four-star general and a national and international security consultant.
General Kroesen was the Commanding General of the Seventh United States Army and the commander of NATO Central Army Group from 1979 to 1983,
and Commanding General, United States Army Forces Command from 1976 to 1978. He also served as Vice Chief of Staff of the Army from 1978 to 1979.
The four-star general was injured in Heidelberg on September 15, 1981, when his armoured limousine was targeted with a RPG-7 anti-tank rocket.
Responsibility for the attack was claimed by the "Kommando Gudrun Ensslin" of the Red Army Faction.
Shortly after retiring in 1983, Gen. Kroesen assisted in the founding of MPRI, Inc., a successful company with almost 1,000
employees, engaged internationally in military education, training and management for the U.S. government and its
allies.
Gen. Kroesen received bachelor degrees in agriculture from Rutgers University and in international
affairs from George Washington University. He received a masters degree in international affairs from George
Washington University. In 1983, Rutgers University awarded him an honorary doctorate (LHD) in humane letters.
